VENDOR TERMS OF SERVICE AGREEMENT

This Vendor Terms of Service Agreement ("Agreement") is a legally binding contract between PeptideCritic.com, operated by Jetsetter Guide LLC, a Nevada limited liability company located in Incline Village, NV ("PeptideCritic," "we," "us," or "our"), and the vendor, company, or individual registering to participate in our vendor directory, advertising programs, or affiliate program ("Vendor," "you," or "your").

By clicking "I Agree," completing the vendor registration process, or participating in any PeptideCritic program, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement.

1. PLATFORM DESCRIPTION AND PURPOSE

PeptideCritic.com is an independent vendor review directory and price comparison platform designed to provide transparent pricing data, community-driven vendor reviews, and research resources for the research peptide and research chemical marketplace. Our platform aggregates live price-per-milligram data, surfaces laboratory purity results (COAs), and publishes community reviews to help researchers make informed purchasing decisions.

Editorial Independence: PeptideCritic operates on a strict policy of editorial independence. Vendor rankings and reviews are community-driven and cannot be purchased. Premium vendor status does not influence rankings, ratings, or editorial content. All vendors must earn trust through transparency, product quality, and positive community feedback.

2. PRICING DISPLAY AND VERIFICATION

2.1 Price Index: PeptideCritic operates a price comparison index to help researchers find competitive pricing across vendors. All prices displayed on our platform are input and verified by PeptideCritic staff against each vendor's publicly available website pricing. Vendors do not have direct control over pricing displayed on our platform.

2.2 Price Verification: We regularly verify that prices shown on PeptideCritic match the prices listed on vendor websites. If pricing discrepancies are identified, PeptideCritic will update the displayed price to reflect current public pricing. Vendors may notify us of price changes, but all updates are verified independently before publication.

2.3 Discount Codes and Promotions: For affiliate partners, PeptideCritic may display prices reflecting any discount codes provided to us. We also offer the ability to set up stackable coupons for limited-time promotions, which can be configured store-wide or by individual product. Special promotional pricing must be communicated to PeptideCritic in advance and will be displayed for the agreed-upon promotion period.

3. VENDOR ELIGIBILITY AND ACCEPTANCE

3.1 To register as a vendor on PeptideCritic, you must:

Be at least 18 years of age or the age of majority in your jurisdiction;
Operate a legitimate research chemical or research peptide business;
Have legal authority to bind your company or organization to this Agreement;
Provide accurate, current, and complete registration information;
Comply with all applicable federal, state, local, and international laws and regulations.

3.2 PeptideCritic reserves the absolute right to approve or reject any vendor registration in our sole and absolute discretion. We may deny registration without providing a reason, and you shall have no legal recourse against us for rejection.

4. RESEARCH USE ONLY REQUIREMENT

CRITICAL REQUIREMENT: All vendors listed on PeptideCritic.com must exclusively sell products intended for in-vitro laboratory research purposes only.

4.1 Prohibited Sales: Vendors are strictly prohibited from:

Selling, marketing, or distributing any products intended for human consumption;
Selling, marketing, or distributing any products intended for animal use or veterinary applications;
Providing dosing instructions, administration guidance, or medical advice;
Marketing products as dietary supplements, food additives, or pharmaceuticals;
Making therapeutic, diagnostic, or curative claims about products;
Selling controlled substances or products that violate DEA regulations.

4.2 Required Disclaimers: All vendor product listings, websites, and marketing materials must clearly and conspicuously display disclaimers stating that products are "For Research Purposes Only" and "Not For Human or Animal Consumption." Vendors must maintain compliance with FDA, FTC, and all applicable regulatory guidelines.

4.3 Immediate Termination: Any vendor found to be selling products for human or animal consumption, or providing guidance implying such use, will be immediately and permanently removed from PeptideCritic without notice, refund, or recourse. PeptideCritic may report violations to appropriate regulatory authorities.

5. VENDOR PROGRAM TIERS AND SERVICES

PeptideCritic offers a tiered vendor program with increasing benefits. All vendors may claim their vendor profile through the Vendor Portal at https://peptidecritic.com/vendor-program. Claiming your account is optional but provides access to additional tools and features.

5.1 Free Tier

The Free Tier is available to all vendors at no cost and includes:

Basic vendor listing in the PeptideCritic directory;
Ability to receive and display community reviews;
Access to Vendor Portal to manage and flag reviews;
View impression and click data for your vendor profile;
Basic profile management capabilities.

5.2 Affiliate Tier

The Affiliate Tier is unlocked when a vendor enters into an affiliate partnership agreement with PeptideCritic. Requirements and benefits include:

Commission Requirement: Minimum ten percent (10%) commission on all sales referred by PeptideCritic;
Tracking: Vendor must implement proper affiliate tracking and provide accurate sales reporting;
Payment Terms: Affiliate commissions are due and payable within thirty (30) days of the end of each calendar month;
Discount Code Display: Prices displayed with any affiliate discount codes provided;
Stackable Coupons: Ability to set up promotional stackable coupons (store-wide or by product);
All Free Tier benefits;
Audit Rights: PeptideCritic reserves the right to audit affiliate sales data upon reasonable notice.

5.3 Premium Tier

The Premium Tier provides enhanced visibility and profile features. Premium Tier is available as a paid subscription OR becomes free for Affiliate Tier vendors whose monthly affiliate earnings exceed two thousand dollars ($2,000). Premium Tier includes:

All Free Tier and Affiliate Tier benefits;
Enhanced Profile Features: Social media links, extended vendor description, and enhanced branding options;
Ad Placement Scheduling: Ability to schedule and purchase on-site advertising placements for product launches and promotions;
Priority Support: Expedited response times for support inquiries;
Premium Badge: Visual indicator of Premium status on vendor profile.

Premium Tier Pricing: Premium Tier subscription pricing is available at https://peptidecritic.com/vendor-program. Affiliate partners earning $2,000 or more per month in commissions automatically qualify for complimentary Premium Tier access for as long as earnings remain above the threshold.

5.4 Service Limitations: PeptideCritic does not sell clicks, guaranteed traffic, or paid ranking placements. The traffic and visibility you generate through our platform is driven by community engagement, reviews, and your own promotional efforts. We provide tools, platform presence, and affiliate partnership — but performance results depend on your products, pricing, reputation, and marketing efforts. Premium status and paid advertising do not influence organic rankings, community ratings, or editorial content.

6. PAYMENT, CANCELLATION, AND REFUND POLICY

6.1 Payment Terms: All fees for Premium Tier subscriptions, advertising placements, and other paid services are due in advance. We accept major credit cards and other payment methods as displayed during checkout. All prices are in US dollars unless otherwise stated.

6.2 Subscription Cancellation: Premium Tier subscribers may cancel their subscription at any time through their Vendor Portal dashboard or by contacting [email protected]. Upon cancellation:

Your Premium features will remain active until the end of your current billing period;
No further charges will be processed after the current billing period;
Your vendor listing will revert to your qualifying tier (Affiliate or Free).

6.3 NO REFUNDS: ALL PAYMENTS FOR ADVERTISING, PREMIUM SUBSCRIPTIONS, AND ANY OTHER PAID SERVICES ARE NON-REFUNDABLE. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO:

Early cancellation of subscription;
Dissatisfaction with traffic, clicks, or performance results;
Changes to platform features or functionality;
Vendor termination for violation of this Agreement;
Technical issues or service interruptions;
Changes to your business operations or circumstances.

By purchasing any paid service, you acknowledge and agree to this no-refund policy.

7. VENDOR CONDUCT AND PROHIBITED ACTIVITIES

7.1 Vendors agree to conduct business ethically and in compliance with all applicable laws. Prohibited activities include:

Providing false, misleading, or fraudulent information;
Posting fake reviews or manipulating ratings;
Disparaging PeptideCritic or other vendors with false statements;
Selling counterfeit, adulterated, or misrepresented products;
Engaging in spam, unauthorized advertising, or solicitation;
Attempting to circumvent or manipulate platform features or pricing displays;
Violating the intellectual property rights of others;
Any activity that could harm PeptideCritic's reputation or users.

7.2 COA and Testing Requirements: Vendors are strongly encouraged to provide third-party Certificates of Analysis (COAs) from independent laboratories. Vendors who provide verified COA data may receive enhanced visibility through our verification badge system.

8. INTELLECTUAL PROPERTY

8.1 PeptideCritic Property: All content, features, functionality, trademarks, logos, and intellectual property on PeptideCritic.com are owned by Jetsetter Guide LLC and are protected by copyright, trademark, and other intellectual property laws. Vendors may not use PeptideCritic branding without prior written consent.

8.2 Vendor License: By submitting content, logos, product information, or other materials to PeptideCritic, you grant us a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such materials in connection with operating and promoting the platform.

8.3 User Reviews: User-submitted reviews and ratings are the intellectual property of PeptideCritic. Vendors may not claim ownership of reviews or attempt to suppress legitimate user feedback.

9. DISCLAIMER OF WARRANTIES

THE PEPTIDECRITIC PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PEPTIDECRITIC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE PLATFORM WILL BE ACCURATE OR RELIABLE; (D) ANY ERRORS WILL BE CORRECTED; OR (E) THE PLATFORM WILL GENERATE ANY SPECIFIC LEVEL OF TRAFFIC, CLICKS, SALES, OR REVENUE FOR YOUR BUSINESS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPTIDECRITIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER PEPTIDECRITIC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL PEPTIDECRITIC'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO PEPTIDECRITIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Jetsetter Guide LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of this Agreement; (b) your violation of any law or regulation; (c) your products, services, or business practices; (d) any claims by third parties relating to your products; (e) your infringement of any intellectual property or other rights; or (f) any content you submit to the platform.

12. TERMINATION

12.1 Termination by PeptideCritic: PeptideCritic may suspend or terminate your vendor account at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: violation of this Agreement, selling products for human or animal consumption, fraudulent activity, non-payment of affiliate commissions, or any conduct harmful to PeptideCritic or its users.

12.2 Termination by Vendor: You may terminate your vendor account at any time by providing written notice to [email protected]. Termination does not entitle you to any refund of fees paid.

12.3 Effect of Termination: Upon termination, your vendor listing will be removed, all outstanding affiliate commissions owed to PeptideCritic must be paid within thirty (30) days, and provisions that by their nature should survive (including Sections 8, 9, 10, 11, 13, and 14) shall continue in full force.

13. DISPUTE RESOLUTION AND GOVERNING LAW

13.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflicts of law principles.

13.2 Arbitration: Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Reno, Nevada. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver: YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. GENERAL PROVISIONS

14.1 Entire Agreement: This Agreement constitutes the entire agreement between you and PeptideCritic regarding the subject matter hereof and supersedes all prior agreements and understandings.

14.2 Amendments: PeptideCritic may modify this Agreement at any time by posting the revised version on our website. Your continued participation after such posting constitutes acceptance of the modified terms.

14.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Assignment: You may not assign or transfer this Agreement without PeptideCritic's prior written consent. PeptideCritic may assign this Agreement without restriction.

14.5 Waiver: The failure of PeptideCritic to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.

14.6 Independent Contractors: The relationship between PeptideCritic and vendors is that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship.

14.7 Force Majeure: PeptideCritic shall not be liable for any failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, or government action.

15. ACKNOWLEDGMENT AND ACCEPTANCE

BY CLICKING "I AGREE," REGISTERING AS A VENDOR, OR PARTICIPATING IN ANY PEPTIDECRITIC PROGRAM, YOU ACKNOWLEDGE THAT:

You have read and understand this entire Agreement;
You agree to be legally bound by all terms and conditions;
You sell products for research purposes only, NOT for human or animal consumption;
You understand that PeptideCritic does not sell traffic, clicks, or guaranteed results;
You understand that Premium status and advertising do not influence rankings or reviews;
You accept the no-refund policy for all paid services;
You have the legal authority to enter into this Agreement on behalf of your business.
